1. Acceptance of Terms
By accessing or using Dragontail Group 龍尾集團 ("Dragontail," "we," "us," or "our") services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.
You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement.
2. Services Provided
2.1 AI Agent Services
We provide AI agent setup, development, deployment, and maintenance services ("AI Agent Services"). These services include:
- Discovery and requirements analysis
- AI agent design and development
- Deployment and integration
- Ongoing maintenance, monitoring, and support
- Performance optimization and updates
2.2 Consulting Services
We provide consulting services including training and awareness building workshops ("Consulting Services"). These services are time-bound events and must be paid in full prior to delivery.
2.3 Service Level
All services are provided on a "best effort" basis. We do not guarantee specific performance metrics, uptime, or response times for AI agents. We make no warranties regarding the accuracy, reliability, or suitability of AI agent outputs for any specific purpose.
3. Client Responsibilities
3.1 Supervision Requirements
Clients must never rely on AI agents as sole decision-makers for critical business decisions or critical personal decisions. All AI agent outputs must be reviewed and approved by qualified human personnel before implementation.
3.2 Prohibited Uses
Clients may not use AI agents for:
- Illegal activities or facilitating illegal conduct
- Generating harmful, threatening, or malicious content
- Impersonating others or fraudulent activities
- Competitive intelligence gathering against Dragontail Group
- Legal advice, medical advice, financial advice, or health advice
- Romantic or political conversations or other inappropriate conversations
3.3 Compliance Responsibility
We provide guardrails and guidelines, but clients are ultimately responsible for ensuring their use of AI agents complies with all applicable laws, regulations, and industry requirements.
4. Fees and Payment
4.1 AI Agent Services Pricing
AI Agent Services are priced as follows:
- One-time Setup Fee: Covers discovery, design, development, deployment, and training
- Monthly Retainer: Covers ongoing maintenance, monitoring, support, and updates
4.2 Consulting Services Pricing
Consulting Services must be paid in full prior to delivery. No refunds are provided for cancellations within 24 hours before the scheduled event.
4.3 Late Payment
Services may be suspended after 15 days of non-payment and terminated after 30 days of non-payment.
5. Intellectual Property
5.1 Ownership
Dragontail retains ownership of all intellectual property rights in the AI agent architecture, proprietary methods, prompts, workflows, and underlying technology we create. Clients receive a non-exclusive, non-transferable license to use the AI agents for their business purposes.
5.2 Client Data
Clients retain ownership of all data they provide and all conversation data generated through their use of AI agents.
5.3 Restrictions
Clients may not:
- Share our proprietary methods, prompts, or agent architectures with third parties
- Reverse-engineer, copy, or replicate our AI agent systems
- Hire our team members for a period of 6 months after termination of services
6. Data Processing and Privacy
6.1 Third-Party Services
Our AI agents utilize third-party AI service providers including Groq, Anthropic (Claude), Mistral, Hugging Face, Ollama, and LiveKit. By using our services, you explicitly consent to your data being transmitted to and processed by these providers for the purpose of generating AI responses.
6.2 Data Protection
We maintain reasonable confidentiality of client business information. Clients may provide testimonials for our website with their consent. Each party is responsible for their own compliance with applicable data protection laws.
7. Support and Maintenance
7.1 Support Response Times
- Critical Issues: Response within 48 hours
- Non-Critical Issues: Response within 1 week
- Change Requests: Quoted separately and not included in support scope
7.2 Maintenance
Bug fixes discovered within 1 week of release are included. New features and change requests require separate change orders. Maintenance may occur during weekends with 24-hour notice.
8. Cancellation and Termination
8.1 Cancellation by Client
Clients may cancel services with 30 days written notice. No refunds are provided for setup fees already completed. Pro-rated refunds are provided for unused monthly retainer periods if paid in advance.
8.2 Termination Effects
Upon termination, the license to use AI agents terminates and agents must be deactivated. We provide 30-day transition support to export client data and configurations.
9. Marketing and Testimonials
We may mention clients as customers and use case studies without requiring individual approval for each mention. Clients may provide testimonials for our website.
10. Limitation of Liability and Disclaimer
10.1 No Liability
To the maximum extent permitted by law, Dragontail accepts no liability for any damages, losses, or consequences arising from the use of our AI agents or services, including but not limited to business losses, decision errors, or system failures.
10.2 No Warranties
We make no warranties, express or implied, regarding the accuracy, reliability, completeness, or suitability of AI agent outputs for any purpose. AI agents may produce errors, hallucinations, or inappropriate responses.
10.3 Maximum Damages
Our total liability for any claims arising from these Terms shall not exceed the fees paid by the client in the 3 months preceding the claim.
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Hong Kong.
11.2 Dispute Resolution Process
Disputes shall be resolved through mediation first, and if unresolved, through arbitration under Hong Kong International Arbitration Centre (HKIAC) rules.
11.3 Limitation Period
All claims against Dragontail must be brought within 1 month from the date the claim arose.
11.4 Legal Costs
Each party shall bear their own legal costs in any dispute, except as otherwise provided by law.
12. General Provisions
12.1 Entire Agreement
These Terms of Service, together with any executed Non-Disclosure Agreement and Scope of Work document, constitute the entire agreement between the parties. In case of conflict between these documents, the hierarchy shall be: (1) Scope of Work document, (2) Non-Disclosure Agreement, (3) these Terms of Service.
12.2 Modifications
We may modify these Terms with 30 days notice. Continued use of services constitutes acceptance of modified terms.
12.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.4 Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties.
